1. Acceptance of Terms

By accessing and using ArborKey software ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this Service.

2. Use License

Permission is granted to temporarily access ArborKey for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • modify or copy the materials;
  • use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
  • attempt to reverse engineer any software contained in ArborKey;
  • remove any copyright or other proprietary notations from the materials; or
  • transfer the materials to another person or "mirror" the materials on any other server.

3. Account Registration

You must provide accurate, complete, and current registration information. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Responsibilities

You agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms;
  • Not upload, transmit, or distribute any content that is illegal, harmful, or violates any third-party rights;
  • Not interfere with or disrupt the integrity or performance of the Service;
  • Not attempt to gain unauthorized access to any portion of the Service;
  • Maintain the confidentiality of your account information.

5. Data and Privacy

We collect and process data only as necessary for the proper operation and use of the Service. We do not sell your personal data to third parties. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

The Service and its original content, features, and functionality are owned by ArborKey and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service without our prior written consent.

7. Payment Terms

If you purchase a subscription or paid service, you agree to pay all fees associated with your account. Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change our pricing with reasonable notice.

8. Service Availability

We strive to maintain the availability of the Service but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

9. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARBORKEY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which ArborKey operates, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
